Job Summary

Provides legal advice, analysis and interpretations in regards to contracts and RFPs. Reviews, drafts and negotiates contracts.

MAJOR JOB DUTIES AND RESPONSIBILITIES (List in order of importance)

  • Provides advice and assistance regarding legal interpretations and analysis of the business risk of contracts.
  • Advises clients and assists in developing creative solutions for discrete commercial issues and disputes.
  • Reviews, drafts and negotiates various types of contracts, proposals and bid responses.
  • Works closely with the company's contract administration team throughout the contracting process and to ensure compliance with internal policies.
  • Develops and drafts contract templates, policies, procedures, and other documents.
  • Assists with special projects as needed.
  • Manages outside counsel and oversees work of contract specialists and others.
  • Performs other duties as assigned.
  • QUALIFICATIONS (Education/Training, Experience and Certifications)

  • Minimum of ten years relevant experience at a law firm, in-house legal department, or a combination of both, with at least five years of in-house experience preferred
  • JD from an accredited law school, with strong academic credentials
  • Current Pennsylvania bar admission required
  • At least five years corporate transaction experience, with particular emphasis on reviewing, drafting, and negotiating a wide variety of commercial agreements, including distribution and manufacturing customer, supplier, vendor, service, consignment, and nondisclosure agreements, as well as software (on-premises and SaaS), cloud and information security agreements.
  • Experience managing the legal affairs of a line of business preferred

  • Excellent verbal and written communication skills and ability to impact and influence at all levels of an organization
  • Strong and effective judgment, and ability to present ideas logically
  • Client-focused and confident, with strong interpersonal and negotiation skills to interact with senior business leaders as well as customers, suppliers, and other third parties
  • Ability to resolve conflict, overcome resistance, and facilitate consensus
  • Collaborative approach necessary for working in a matrix organization
  • Flexible and willing to learn new areas of business and the law
  • Ability to work independently and handle complex and sophisticated legal matters with minimal supervision.
  • Ability to handle multiple priorities within deadlines

  • ENVIRONMENTAL WORKING CONDITIONS & PHYSICAL EFFORT (Under Typical Positions)

    Typically works in an office environment with adequate lighting and ventilation and a normal range of temperature and noise level

    Minimal physical effort is required. Work is mostly sedentary but does require walking, standing, bending, reaching, lifting or carrying objects that typically weigh less than 10 lbs
